These terms are available in English, German and Polish. If the versions differ, the German version prevails for contracts with Leppich GmbH and the Polish version for contracts with Hadron (§ 14).
§ 1 Scope and provider
- These terms apply to the free online tools on hadronforbusiness.com and to contracts for services ordered through this website, in particular the Website Scan. The provider of this website, of the free tools and of every order placed through it is Leppich Investments und Consulting GmbH, Saalburgstraße 112, 61350 Bad Homburg vor der Höhe, Germany, HRB 16683, Amtsgericht Bad Homburg v. d. Höhe, VAT ID DE451462072, managing director Tomasz Leppich (“Leppich GmbH”), for businesses in every country, including Poland. Full company details: Legal notice.
- For audits, implementations and support, the individual offer or contract applies first. Projects for businesses in Poland are usually provided by our sister company HADRON FOR BUSINESS sp. z o.o., ul. Szkolna 17, 47-225 Kędzierzyn-Koźle, Poland, KRS 0000524184, NIP 7492091229 (“Hadron”), all other projects by Leppich GmbH; the offer names the company. These terms apply to such projects wherever the offer or contract does not provide otherwise. “We” means the company that provides the service to you.
- The client's own terms do not apply unless we agree to them in writing.
- BAFA-funded consulting in Germany is contracted with Leppich GmbH under a separate consulting contract, not under these terms.
§ 2 Who can order
- Our paid services are aimed exclusively at businesses, meaning persons who conclude the contract in connection with their business or professional activity (“Client”).
- A sole trader for whom a contract with Hadron is not of a professional nature has the additional rights set out in § 10.
§ 3 Free online tools
- We provide free online tools: the contact form, the free check, the funding quizzes, the free Website Scan (§ 5) and booking a consultation.
- To use them you need a device with internet access, a current web browser with JavaScript enabled and an e-mail address.
- The agreement to use a tool starts when you begin using it and ends when you stop using it or, where we send you a result, when the result has been sent.
- You may not enter unlawful content or other people's personal data without authorisation.
- Results of the free tools are general guidance based on your answers or, for the Website Scan, on publicly accessible information. They are not individual advice and do not replace an audit.
§ 4 Formation of a contract
- Information on this website is not a binding offer. You order the add-on (§ 5) by sending the Website Scan form with the add-on ticked.
- We then send you a link to a secure payment page by e-mail; after sending the form, you may also be taken straight to that page. The contract for the add-on is formed when we receive your payment. Until then your order is not binding for you; if you do not pay, you receive the free report. For projects, the contract is formed when the offer is signed or accepted in writing or electronically.
§ 5 Website Scan
- The Website Scan is a diagnosis of how visible a website is in search engines, in AI answers and in local search, and of how well it turns visitors into inquiries. The deliverables are those described on the Website Scan page, in the language version and the version valid when you send your request.
- The free Website Scan costs nothing and runs fully automatically: the report is generated and checked automatically before it goes out, and nobody reads the free report by hand. We send it by e-mail within two working days of receiving your request with the website address. The free Website Scan does not include a consultation.
- If you request the same domain again within 30 days from the same e-mail address, we send your existing report again and do not run a new scan. A request from a different e-mail address gets its own scan.
- In the same form you can add the paid option “Personal review + 30-minute consultation” (“add-on”), for businesses only (§ 2). With it, Tomasz Leppich personally checks and validates your report and adds his recommendations for your next steps, and you get a 30-minute consultation call with him. You book the call in our online calendar after delivery.
- We guarantee delivery of the report with personal review within 24 hours of receiving your payment, Monday to Friday. Hours on Saturdays, Sundays and public holidays do not count: for a payment received on such a day, we deliver by the end of the next working day. Public holidays are those at the registered office of Leppich GmbH (Hesse, Germany).
- If we do not deliver the report with personal review within the guaranteed time, we refund the full price on request, and the report stays with you.
- If you do not pay for the add-on, your order is not binding for you and you receive the free report (point 2).
- The Website Scan analyses only publicly accessible information. We do not guarantee any position in search engines or AI answers, or any business result.
§ 6 Projects: audit, implementation and support
- Scope, price, schedule and acceptance of a project are set out in the offer.
- The Client provides the information, access and decisions the project needs, on time. Delays caused by missing cooperation move agreed dates accordingly.
- Licences for third-party software, in particular Odoo subscriptions, are not included in our prices unless the offer says so.
§ 7 Prices and payment
- The add-on (§ 5) costs 449 zł net for businesses in Poland and 149 EUR net for businesses in all other countries. The seller is Leppich GmbH, which charges VAT as follows: businesses in Germany pay 19% German VAT; businesses in another EU country, including Poland, with a valid EU VAT ID receive an invoice without German VAT under the reverse charge procedure; businesses outside the EU receive an invoice without German VAT, because the service is not taxable in Germany; businesses in another EU country without a valid EU VAT ID pay 19% German VAT. For other services, the price in the offer applies.
- The add-on is paid before delivery on a secure payment page of our order system: by card or Revolut Pay and, for payments in złoty, also by BLIK, in all cases through Stripe. The 24 hours (§ 5) start when we receive your payment. Project invoices are payable by bank transfer within the period stated on the invoice.
- If payment is late, we may charge statutory interest for late payment in commercial transactions and, after an unsuccessful reminder, suspend work until payment is received.
§ 8 Funding
- We help clients prepare funding applications, for example BAFA in Germany and Dig.IT in Poland. Only the funding body decides whether funding is granted and how much. We do not guarantee approval or any amount.
- If a grant is refused or reduced, the Client still pays for the services received, unless the offer provides otherwise.
§ 9 Liability
- We perform our services with professional care. We do not owe a specific economic result, ranking or grant unless we have promised it expressly in writing.
- Our liability is limited to the remuneration paid for the service concerned and does not cover lost profits. These limits do not apply to damage caused intentionally or where the law does not permit a limitation.
§ 10 Sole traders with consumer protection
- This section applies only to contracts with Hadron (§ 1 point 2), which are governed by Polish law. If you are a sole trader and the contract is not of a professional nature for you, as defined in Art. 38a of the Polish Consumer Rights Act, you may withdraw from a contract with Hadron concluded at a distance within 14 days of its conclusion without giving reasons. A statement sent before the deadline to info@hadronforbusiness.com or by post to Hadron's registered office is enough.
- If you asked us to start the service before the withdrawal period ended and then withdraw, you pay for the part performed until the withdrawal.
- The right of withdrawal expires once the service has been performed in full, if you expressly agreed before the start that we begin before the end of the withdrawal period and acknowledged that you lose the right of withdrawal on full performance.
- Provisions of these terms that would be prohibited contractual clauses towards a consumer (Art. 385¹ and 385⁵ of the Polish Civil Code) do not apply to you.
§ 11 Confidentiality
Both parties keep confidential the information they receive in the course of the cooperation, in particular business data, strategies and access credentials. This obligation continues after the contract ends.
§ 12 Rights to results
- Once paid in full, the Client may use the results created for them, such as reports, configurations and texts, for their own business, without limitation in time or territory. The same applies to the free Website Scan report from delivery. Details for projects are set out in the offer or contract.
- Our know-how, methods, tools and general templates remain ours.
- We name the Client as a reference only with the Client's consent.
§ 13 Complaints
Send complaints about the free tools or paid services to info@hadronforbusiness.com or through the contact form. Describe the issue and how we can reach you. We respond within 14 days.
§ 14 Governing law, jurisdiction and language
- Contracts with Leppich GmbH, including every order placed through this website, are governed by German law, and contracts with Hadron by Polish law, in each case excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
- Disputes are decided by the court with jurisdiction over the registered office of the company you contracted with (Bad Homburg v. d. Höhe or Kędzierzyn-Koźle). This does not apply to sole traders under § 10.
- These terms are published in English, German and Polish. If the versions differ, the German version prevails for contracts with Leppich GmbH and the Polish version for contracts with Hadron.
§ 15 Changes
Each order is governed by the version of these terms valid at the time it was placed.
